POSITION SUMMARY
The Chief Legal Officer and General Counsel oversees and manages all legal functions for OmniTRAX and Broe Real Estate Services and their managed affiliates. In this role, they are a critical player in driving synergies across businesses and promoting the Powered by Rail and Real Estate Initiative. Leads corporate strategic and tactical legal initiatives and is a key leader in all steps of real estate and rail transactions. Facilitates business strategy development, directly involved in complex business transactions, and oversees negotiation of critical contracts. Provides strategic advice and support for operations and management. Ensures legal needs are met for all business units. Offers professional legal advice and representation for complicated legal issues throughout the organization and specifically to the CEOs, The Board of Directors, and Senior Management teams. Obtains and oversees the work of outside counsel including litigation. Ensures legal compliance and limits risk exposure operating within the law, at all times.

ESSENTIAL RESPONSIBILITIES

  • Works across businesses to drive legal synergies needed for combined Rail and Real Estate projects including land acquisitions, industrial development, joint ventures rail leasing arrangements, mergers and acquisitions and financing deals.
  • Provides expert and strategic legal advice to management.
  • Oversee all legal matters including corporate governance, legal compliance, risk management, procurement, compliance around deals/transactions and the company's expansion and M&A activity, government grant funding, employment, and employee/community safety
  • Conducts and supervises legal due diligence for all real estate and rail deals
  • Drafts, reviews, and negotiates a wide range of real estate and rail contracts for all areas of the businesses
  • Advises on legal methods/issues for raising capital including: drafting, reviewing and negotiating agreements related to capital raising (term sheets, investment agreement, loan documents), ensuring compliance with securities laws and regulations, coordinating with investment bankers, accountants and others on the management team
  • Thorough knowledge of all aspects of the company's businesses and all legal documents pertaining to the businesses
  • Set internal governance policies and manages the impact of external factors
  • Participates in the definition and development of corporate policies, procedures, and programs; provide continuing counsel and guidance on legal matters and on legal implications of all matters.
  • Judge the merits of court cases filed against or on behalf of the company; work with appropriate executive(s) to define a strategic defense; approve settlements of disputes where warranted
  • Manage outside counsel and provide general oversight and organization of their assignments and budget
  • Anticipate issues and estimate risks strategically; identify proactive solutions that eliminate or mitigate risks
  • Deals with complex, significant matters that cue across legal and related areas
  • Keep abreast of standard practices and trends affecting the company's industries
  • Advise the organization about government regulations and legal rights
  • Manage the legal issues and regulatory compliance required as a result of any facility relocations

SUPERVISORY RESPONSIBILITIES

REQUIRED QUALIFICATIONS, KNOWLEDGE, SKILLS, AND ABILITIES

  • Juris Doctor Degree
  • 10+ years related legal experience in a law firm and/or corporate legal department
  • 6+ years of experience overseeing and managing all legal aspects of complex real estate and rail transactions to include complex asset acquisitions, service/leasing agreements, and divestitures in real estate and other sectors.
  • 6+ supervisory experience; strong leadership and mentoring skills to develop a high performance team
  • Exceptional business acumen
  • Experience working on matters of corporate governance and with a board of directors
  • Experience with cost-effective management of outside legal resources
  • Working knowledge of developing legal strategy and objectives; in-depth understanding of how legal issues affect organizations
  • Anticipate legal issues or risks; excellent problem solving and resolution skills
  • Familiarity with commercial and residential real estate markets
  • High degree of professional ethics; excellent judgment and analytical skills
  • Excellent verbal and written communication skills; effectively converse with all levels of the company, customers, business associates
  • Proficiency in Microsoft Office Suite to enable effective contract development and review
  • Professional integrity and accountability
  • Experience collaborating with multidisciplinary teams and external parties
  • Work in a fast-paced, collaborative environment

REQUIRED CERTIFICATIONS AND LICENSES

  • Active license to practice law

  • Previous experience in real estate, railroad, or supply chain logistics
  • Rail real estate experience
  • Experience working for a family office

COMPENSATION

  • Estimated Starting Annual Salary: $289,569
  • Exact starting salary is determined by merit; seniority; geographic location; education, training, and/or experience related to job duties and responsibilities
  • FLSA Status: Exempt, Not Eligible for Overtime
  • Eligible for Participation - Annual Discretionary Bonus
