Job Description


Senior Counsel
Summary
The Associate General Counsel will provide counsel to management and project teams as Cordia positions itself to capture emerging opportunities in the energy industry. This position reports to the General Counsel and may be located remotely or in one of Cordia?s primary offices, with periodic travel as required. (Primary offices include Pittsburgh, Minneapolis, Phoenix, and Omaha.)
Principle Responsibilities/Key Results Areas
  • Negotiate, draft, and manage complex commercial agreements, including:
  • Energy services agreements
  • Power purchase agreements (PPAs)
  • Interconnection and offtake agreements
  • Site control documents and engineering/construction contracts
  • Lead legal support for project-level and corporate M&A transactions, including due diligence, structuring, and definitive agreements
  • Negotiate and support financing transactions, including tax equity and debt financing structures, in coordination with outside counsel
  • Supervise outside counsel, as necessary
  • Assist with respect to management of regulatory issues.
  • Partner with the General Counsel on legal operations, risk management initiatives, and special projects
  • Other duties as assigned
Requirements

  • Business acumen and excellent commercial judgment

  • Excellent communication skills (verbal and written) including ability to work independently; project management skills; ability to negotiate; ability to provide an elevated level of client service and build consensus

  • Interest in energy and a demonstrated aptitude to understand complex and new technologies, systems, innovations, and business concepts as well as market opportunities and challenges
  • Demonstrated ability to obtain and review complex information and clearly articulate conclusions and associated recommendations
  • Ability to and preference for working in a fast-paced, leanly staffed, entrepreneurial environment.
  • Solution oriented, ?get-to-yes? analytical person with a proven ability to think creatively about responsibly managing risk in a dynamic environment
Experience & Education
  • JD and strong academic record from a leading law school
  • License to practice law in at least one U.S. jurisdiction
  • A minimum of 8 years of relevant experience at a major law firm or with a sophisticated in-house legal department
  • Experience with utility-scale energy projects (wind, solar, or thermal), community solar portfolios, or energy infrastructure transactions
  • Familiarity with regulated utilities, FERC/state regulatory frameworks, or district energy is a plus
