- Advise on securities law compliance, including the Securities Act of 1933, Exchange Act of 1934, and NYSE listing standards
- Prepare, review, and support the filing of SEC reports (e.g., 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings)
- Partner with Finance and Investor Relations on earnings materials, investor disclosures and public communications
- Monitor and advise on disclosure controls, insider trading, and Regulation FD compliance
- Serve as Assistant Corporate Secretary supporting the General Counsel, Board of Directors, and Board Committees
- Draft agendas, resolutions, meeting minutes, governance policies, and committee charters
- Manage Board and committee meeting logistics, including preparation and distribution of materials
- Maintain accurate corporate records and support shareholder engagement and the annual meeting process
- Coordinate Board and leadership compliance with corporate policies and governance best practices
- Utilize entity and board management tools to support governance processes and records
- Advise on corporate structure, subsidiary governance, and global entity management across 50+ countries
- Support legal aspects of M&A, strategic transactions, and corporate reorganizations
- Contribute to ESG-related disclosures, sustainability governance, and shareholder communications as needed
- Collaborate on enterprise risk management and ethics/compliance policy development
- J.D. from an accredited law school; admitted to practice in at least one U.S. jurisdiction.
- 6+ years of relevant legal experience, including at a top law firm or in-house legal department of a public company.
- Deep knowledge of U.S. securities laws, SEC regulations, and NYSE requirements.
- Experience managing corporate governance and supporting public company Boards.
- Proven ability to manage multiple priorities in a fast-paced, global environment.
- Excellent communication, writing, and interpersonal skills.
- High integrity, sound judgment, and attention to detail.
