Direct Counsel is seeking a Mid-Level Associate to join the Securities and Capital Markets Group at a leading Am Law 100 firm. This role focuses on advising public company clients on disclosure obligations, corporate governance, and compliance with federal securities laws and listing standards.

Key Responsibilities:

Draft and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
Advise clients on SEC interactions, compliance with major U.S. exchange listing standards, and corporate governance.
Counsel clients on executive and director compensation disclosures.
Provide strategic advice during crisis situations and special events requiring securities law expertise.

Preferred Background:

At least four years of experience in public company advisory work.
Strong knowledge of SEC disclosure requirements, U.S. exchange listing standards, and corporate governance principles.
Law firm experience required.
Admission to practice law and good standing in the jurisdiction of hire.

Compensation:
The salary range for this position is $310,000 to $390,000 annually , commensurate with experience and other relevant factors.
