Midlevel Ec/Vc Corporate Associate

The Southern California offices of Holland & Knight are seeking a midlevel corporate associate with emerging companies and venture capital experience. The preferred location for this position is Century City but we will consider other SoCal offices and Portland. The ideal candidate will have: assisted in advising emerging companies and venture capital investors on a wide range of corporate and transactional matters, from formation to exit; drafted and negotiated venture capital financing documents, including term sheets, convertible notes, and NVCA (and related) financing documents; provided legal guidance on corporate governance matters, including board and shareholder issues; supported clients in mergers and acquisitions, joint ventures, and other strategic transactions; conducted due diligence and assisted in transactional closings; acted as outside corporate counsel to early-stage and late-stage private companies; and managed internal and external client and counsel relationships. Relevant transferable skills, a strong academic background, excellent research and writing skills and admission to the California bar required. EOE.M/F/D/V. This position will only be filled in California. In accordance with the California Pay Transparency Law, the pay range for this position in California is $310,000 - $390,000/yr. This range is specific to this location and may not be applicable to other locations. An individual?s actual compensation will depend on the individual?s qualifications and experience. Job Requirements: Juris Doctor (J.D.) from an accredited law school. Admission to the California Bar. 4-6 years of experience in a reputable law firm or in-house legal department. Strong background in corporate law, with specific and significant experience in emerging companies and venture capital transactions. Excellent drafting and negotiation skills. Entrepreneurial and a team player Ability to work independently and collaboratively in a fast-paced environment. Strong academic credentials.
