Corporate Associate Attorney - Securities and Capital Markets

Direct Counsel is seeking a Corporate Associate Attorney with Securities and Capital Markets experience to join a top-tier law firm in New York. Responsibilities

The Corporate Associate will:

• Represent issuers and underwriters/placement agents in capital markets transactions (?33 Act).
• Assist public companies with compliance, corporate governance, and filings under the ?34 Act.
• Provide efficient and high-quality legal service, both independently and as a key member of a collaborative team.
• Quickly integrate into the national corporate practice, handling sophisticated transactions with a focus on quality client service.
• Pursue professional growth in line with an on-track partnership role.

Qualifications

• JD or LLM from an ABA-accredited law school.
• Admission (or eligibility for admission) in New York.
• Minimum of 3 years of experience in capital markets, securities, and corporate governance.
• Demonstrated ability to manage ?33 and ?34 Act matters with issuers and underwriters/placement agents.
• Strong written and verbal communication skills.
• High level of professionalism in engaging with clients and colleagues.
• Strong organizational skills with attention to detail.
• Ability to work effectively in a team setting and manage multiple priorities.

Compensation

The salary range for this role is $310,000 to $365,000, with bonus eligibility. The firm offers a comprehensive benefits package.
