Associate (Senior)

Cleary Gottlieb Steen & Hamilton LLP seeks an Associate (Senior) in New York, NY to draw up legal documents such as opinion letters, memoranda, and various corporate contracts and agreements using extensive experience with Latin American law. Requires JD, LLM or foreign equivalent and four years of experience as an Associate or related occupation. Must include 4 years of experience in each of the following: Advising and representing corporate and sovereign clients in connection with U.S. and international corporate and financial transactions, including public and private issuances of debt and equity securities, restructurings, bilateral and syndicated loans, and compliance with reporting obligations in the United States; Closing corporate transactions and coordinating among client?s advisors, including other law firms, lenders, accountants and consultants; Supporting discussions to develop objectives and legal parameters within which to conduct cross-border transactions; Drafting, reviewing and negotiating contracts and other legal documents in connection with securities issuances, debt restructurings, financings, mergers and acquisitions, particularly in the banking and financial institutions, energy, retail, and telecom industries; and Drafting proposals and legal analysis in connection with debt restructurings and liability management for corporate clients and liability management for corporate clients. Must be admitted to practice law in the State of New York. The base salary for associate positions is $225,000 - $435,000/ year, depending upon class year.
