Associate (Senior)

Cleary Gottlieb Steen & Hamilton LLP seeks an Associate (Senior) in New York, NY to manage as lead associate the legal work streams of clients? debt financing transactions including in connection with leveraged buyouts, restructuring, working capital facilities and liability management transactions. Requires JD, LLM or foreign equivalent and four years of experience as an Associate or related occupation. Must include 4 years of experience in each of the following: Drafting and negotiating credit agreements and indentures for private equity sponsors, other borrowers and lenders in connection a variety of leveraged financing transactions including mergers & acquisitions, restructurings and bankruptcy and working capital facilities; Drafting and negotiating security agreements, guarantees and intercreditor arrangements in connection with secured financings; Reviewing and negotiation financing related provisions of acquisition agreements and conducting legal diligence on the indebtedness of potential targets in connection with M&A transactions; Closing financing transactions and coordinating amongst clients, counterparties, other law firms, accountants and third party advisors; and Advising clients on ongoing compliance obligations with respect to credit facilities and indentures. Must be admitted to practice law in the State of New York. The base salary for associate positions is $225,000 - $435,000/ year, depending upon class year.
