Job Description


Cleary Gottlieb Steen & Hamilton LLP seeks an Associate (Senior) in New York, NY to advise Latin American companies assist and governments on their capital markets, debt finance represent private and insolvency transactions. public corporations as lead legal counsel in complex merger and acquisition transactions as well as in corporate governance matters. Requires J.D., L.L.M. JD, LLM or foreign equivalent and four years of experience as an Associate or related occupation. Must include 4 years of experience in each of the following: Advising and representing Latin American private and public companies corporations on complex merger and sovereign governments on securities rules and regulations, acquisition transactions, including in the context of registered information and unregistered equity communications technology industries; Assisting private and debt securities offerings, exchange offers, tender offers, consent solicitations public corporations with respect to delicate governance matters and the fiduciary duties of officers and directors to corporations and their ongoing reporting obligations with U.S. authorities; Advising Latin American countries and quasi-sovereign subdivisions on sovereign debt restructurings, boards, including in the negotiation with creditors respect to the interpretation and the drafting and use of collective action clauses; Assisting Latin American companies in financial distress or their creditors in their legal rights and alternatives, the negotiation of corporate reorganizations documents and revision of corporate strategies; Advising private and public corporations in multifaceted internal corporate restructurings, with respect to spin-offs, split-offs, distributions and contributions of assets, re-incorporations, domiciliation, dissolutions or conversions of entities and the drafting of the related documents; Drafting, reviewing Assisting private and negotiating legal documents public corporations in securities shareholder activism and financing transactions in Latin America (high-yield and investment grade), including loan agreements and indentures, offering documents, annual reports and legal opinions; takeover defense matters; and Conducting analysis on complex areas of securities Delaware and financial rules and regulations EU corporate law and drafting legal memoranda. Must be admitted to practice law in the State of New York. The base salary for associate positions is $225,000 - $435,000/ year, depending upon class year.
