Associate Senior

Cleary Gottlieb Steen & Hamilton LLP seeks an Associate (Senior) in New York, NY to assist and represent private and public corporations as lead legal counsel in complex merger and acquisition transactions as well as in corporate governance matters. Requires JD, LLM or foreign equivalent and four years of experience as an Associate or related occupation. Must include 4 years of experience in each of the following: Advising and representing private and public corporations on complex merger and acquisition transactions, including in the information and communications technology industries; Assisting private and public corporations with respect to delicate governance matters and the fiduciary duties of officers and directors to corporations and their boards, including with respect to the interpretation and negotiation of corporate documents and revision of corporate strategies; Advising private and public corporations in multifaceted internal corporate restructurings, with respect to spin-offs, split-offs, distributions and contributions of assets, re-incorporations, domiciliation, dissolutions or conversions of entities and the drafting of related documents; Assisting private and public corporations in shareholder activism and takeover defense matters; and Conducting analysis on complex areas of Delaware and EU corporate law and drafting legal memoranda. Must be admitted to practice law in the State of New York. The base salary for associate positions is $225,000 - $435,000/ year, depending upon class year.
