Job Summary Ropes & Gray, a leading global law firm, is seeking a highly skilled and self-driven Private Equity Associate to join our dynamic team. As a Private Equity Associate, you can expect to play a crucial role in providing legal counsel and support to our clients engaged in private equity transactions. We are seeking a mid-level associate (3 -6 years) with a large degree of proven experience representing private equity sponsors in connection with acquisitions, dispositions, and financings. This position will be in our New York office. Duties/Responsibilities Associates in this position, will be expected to: Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and financing documents; Conduct thorough due diligence and research on potential investment opportunities; Advise clients on regulatory compliance issues related to private equity transactions; Assist in the structuring and formation of private equity funds; Provide guidance on transactions, corporate governance matters, and securities regulations; Collaborate with cross-functional teams to ensure the seamless execution of transactions; Lead varies parts of transactions independently; Supervise and professionally develop junior colleagues on the team; and Stay updated on industry trends, legal developments, and best practices in private equity law. Required Skills/Abilities Candidates must have between 3 ? 6 years of proven legal experience working on private equity transactions, preferably at a large law firm, that includes representing private equity and strategic investors. Candidates should also have a strong knowledge of corporate law and securities regulations and excellent drafting, negotiation, and analytical skills. The ability to work effectively to manage priorities in a fast-paced and deadline-driven environment, will also be an important attribute to possess. We require that attorneys applying for this position have a J.D. degree from an accredited law school and be admitted, in good standing, to practice in the state of New York. Compensation In accordance with New York?s Pay Transparency Law, the anticipated pay range for this position is $260,000 - $390,000, which represents our good faith and reasonable estimate of the starting salary range at the time of posting.
