Job Description
We are hiring an Associate General Counsel to support AGC Biologics? global operations. This role will focus on complex contract negotiations with our biotech and pharmaceutical clients, ranging from emerging biotech's to major pharma companies. As a CDMO, we partner with life sciences companies to bring critical therapies to market - requiring sophisticated legal agreements that align innovation, risk, and commercial objectives. Reporting to the Deputy General Counsel, you will also support employment law, compliance initiatives, and broader strategic legal counsel in collaboration with our Global Legal Team.
Schedule: Full-time, 40 hours per week, Monday through Friday
Compensation: $194,000 ? $266,750 per year
- Lead negotiation of complex commercial agreements, including Development & Manufacturing Services Agreements, Commercial Supply Agreements, technology transfer agreements, and licensing deals
- Manage multi-party negotiations and structure deals in collaboration with Business Development and Operations
- Provide legal counsel on corporate governance, regulatory compliance, and risk management
- Develop and implement compliance programs and investigate potential violations
- Offer legal guidance on employment law matters including policies, handbooks, and workplace investigations
- Draft and review a variety of legal documents including employment contracts and separation agreements
- Oversee legal disputes and litigation matters with support from external counsel
- Monitor regulatory updates and adjust policies to ensure compliance
- Advise executive leadership on strategic legal matters with a solution-oriented approach
- Proven ability to negotiate complex agreements in high-stakes environments
- Strong strategic mindset with the ability to align legal guidance with business goals
- Cross-functional leadership and collaboration with global stakeholders
- Expertise in employment law, compliance, and life sciences industry regulations
- Excellent communication and interpersonal skills across all organizational levels
- High integrity, discretion, and professional judgment
Required:
- J.D. from an ABA-accredited law school
- Member in good standing of the WA State Bar or eligible to practice under Rule 9 (or equivalent)
- Minimum of 4 years' experience in a corporate legal role, preferably in biotech or life sciences
- Strong contract drafting and negotiation skills, including supply, licensing, and manufacturing agreements
- Experience managing complex legal matters and cross-functional collaboration
- Law firm experience with a focus on corporate law or life sciences transactions
- Experience with strategic transactions involving pharmaceutical/biotech clients
- Background in employment law and corporate compliance
- Proficiency in financial/legal risk management and policy development
- Domestic and international travel may be required up to 10%
