New York, New York Job Description Primary Responsibilities Pillsbury Winthrop Shaw Pittman LLP has an immediate opening for an associate (class year of 2020 through 2021) to join its Finance practice section in the New York office. Pillsbury?s finance lawyers represent domestic and international lenders, borrowers, agents, arrangers, and other parties in a wide variety of financial transactions, including commercial lending, asset finance, project finance, high yield debt and convertible notes, structured products, and derivatives. The successful candidate will: Be familiar with secured, unsecured, and/or guaranteed financing transactions, including agented and syndicated transactions, as well as corporate finance/debt capital markets transactions, and the rules governing security interests under Articles 8 and 9 of the Uniform Commercial Code. Have experience closing financing transactions, including drafting and negotiating credit agreements, indentures, note purchase agreements, security documents, guarantees, opinions, certificates, and related documentation, including disclosure materials. Have an interest in working on a wide variety of financing and debt capital markets transactions. Be able to advise clients on the interpretation of financing documents. Understand the banking and lending business, as well as corporate matters related to financing transactions. This candidate must be admitted to practice in New York.
