Strategic Transactions And Licensing Associate (Junior/Mid Level)

We are looking for an associate to join our Strategic Transactions and Licensing group (?Tech Group?) in our either our Austin or Bay Area offices. The Tech Group collaborates with leading venture-backed startups and venture capital firms in technology, life sciences, AI, financial services, and consumer products. Associates will develop expertise throughout the entire lifecycle of a company, handle multiple matters concurrently, and have client contact from Day 1. As a Tech Group associate, you will:

• Draft and negotiate licensing, partnering, and commercial agreements
• Provide general intellectual property, privacy, and business/product counseling directly to clients
• Work on and manage transactions in all stages of our clients? businesses, from formation to financings to both buy and sell-side acquisitions and beyond.

We will consider strong candidates with significant experience in either (1) strategic and/or commercial contracts drafting and negotiation and/or (2) deal management of venture financing and/or M&A transactions, who are looking to expand their practice to include more holistic company counseling. We may also consider exceptional candidates with adjacent practices (e.g. intellectual property litigation in relevant industries) who are looking to re-tool into a more hands-on company-side practice.

Job Requirements:

• Eagerness to work with startup and venture capital clients
• Demonstrated experience in at least one of the following: commercial contracts drafting and negotiation venture financing or M&A transactions, and/or deep involvement in intellectual property disputes
• JD 2020-2023
• A technical degree is not required but enthusiasm for, and a willingness to learn about, emerging technology and intellectual property law is a must
• Admission to the State Bar of California or State Bar of Texas
• Superior academic credentials from a top law school and excellent verbal, written and interpersonal skills
• Previous large law firm experience required

Salary Range:

$235,000 - $365,000
