POSITION SUMMARY, RESPONSIBILITIES AND QUALIFICATIONS Honigman?s Public Company, Securities and Governance practice group collaborates in-depth with the senior management and Board of clients by providing practical, nuanced and strategic advice based on their expertise of securities laws, corporate governance, executive compensation, capital markets, mergers and acquisitions, and related matters. We provide efficient and cost-effective counsel to our U.S. and international public company clients representing a broad spectrum of industries, jurisdictions, market capitalizations and SEC filing statuses. Chambers USA has recognized the firm?s Corporate/M&A practice as the best in the state of Michigan for a number of years. KEY RESPONSIBILITIES Represent issuers on a broad range of public and private equity and debt capital markets transactions, including: follow-on offerings; shelf registration statements and takedowns; PIPE transactions; Rule 144A offerings; reverse mergers; Form S-8 registration statements; at-the-market offerings; and IPOs, SPAC and de-SPAC transactions; Advise public companies on a variety of reporting, compliance, compensation and corporate governance matters, including: Exchange Act reporting obligations, such as Annual Reports on Form 10-K/Form 20-F; Quarterly Reports on Form 10-Q; periodic reports on Form 8-K; proxy statements for Annual and Special Meetings; Section 13 and Section 16 beneficial ownership reports; conflict minerals reporting; and SEC comment letters; Supporting all aspects of the Annual Meeting process, including coordinating with client teams and other key third parties, addressing shareholder proposals and activism, and preparing materials for shareholder engagement; Advising on policies, practices and reporting on executive compensation (including incentive programs), corporate governance, enterprise risk management, compliance, sustainability and cybersecurity; Stock exchange reporting and compliance obligations; Advising Boards and committees, directly and indirectly, across a wide spectrum of issues, collaborating with key third parties (independent auditors, compensation consultants, executive and director search firms) and drafting minutes and resolutions; Deliver high quality work-product and effectively communicate at all levels of Honigman and its clients; Demonstrate excellent problem-solving skills. High energy and enthusiasm for counseling clients, and use of technology / research tools; Exhibit highly responsive, proactive, creative and efficient work habits; Take responsibility for enhancing performance, expertise, and productivity, in addition to seeking out formal and informal training opportunities; Integrate into the practice and build strong relationships with clients and within Honigman, and exhibit a commitment to furthering practice group strategic initiatives; and Demonstrate a commitment to networking within Honigman, with existing clients and developing business opportunities (both with existing clients and by developing long-term relationships). QUALIFICATIONS 4-7 years of public company and capital markets experience in a law firm and/or U.S. public company; Strong leadership capabilities and interests, with a demonstrated ability to work independently and as part of a team, with experience managing teams across experience levels; Ability to organize and prioritize numerous tasks and complete them under significant time constraints; Outstanding interpersonal, analytical, organizational, and communication (written and verbal) skills required; J.D. degree from an ABA-accredited institution; Preference for licensed Michigan, Illinois or Washington D.C. attorney in good standing (or with ability to waive into either jurisdiction); and Ability to travel as client and practice group require. COMPENSATION AND BENEFITS The salary range for this position is $305,000-$350,000 annually.
