Legal Counsel

Reporting into the Chief Legal & Trust Officer, AGCs lead our GTM & Product, Corporate, Employment and Ethics & Compliance practices. The Legal Counsel, North America will sit within the GTM practice, initially reporting to our Director, NAM Commercial

This position is based in our Raleigh office with a hybrid work model.

The Role:

The Legal Counsel, North America position is a valuable role in the company's Legal group and is primarily responsible for supporting Celonis' GTM organization in North America, as well as providing additional legal support as requested.

The primary focus of the role is negotiating key commercial customer transactions in North America, with regular opportunities to work on matters around the globe more generally. A successful candidate will be expected to provide pragmatic, creative, collaborative and solution-oriented legal support throughout the company. As a self-starting, experienced communicator and problem-solver, the Legal Counsel, North America must be able to prioritize effectively and drive issues to resolution within a team environment focused on growth, execution and process

The work you'll do:

• Draft, review, analyze and negotiate a wide variety of commercial contracts, including cloud and on-premise subscriptions, professional services agreements, GenAI terms and data processing agreements
• Develop and maintain commercial contract templates
• Consistently anticipate, analyze, communicate, and propose mitigation strategies for potential risks in contractual, regulatory, compliance, financial and legal areas
• Provide training on a variety of topics to sales and other cross-functional teams
• Contribute to ongoing process improvement, reduction of friction and problem solving within areas of Legal and Compliance
• Seamlessly partner with senior stakeholders (including C-Suite and Executive Management) within the Celonis organization, including but not limited to Sales, Deal Desk, Finance and Compliance
• Further Celonis' business, financial and risk management objectives through diligent, proactive and creative lawyering

The qualifications you need:

• Law degree from a highly-regarded university.
• Qualified lawyer in relevant jurisdiction.
• Business fluency in English.
• 3+ years post-qualification experience in law firm and/or in-house legal department including significant drafting and negotiation experience in relation to SaaS and professional services agreements.
• Experience in supporting quota-carrying, enterprise-level sales personnel is a significant plus.
• Working knowledge of regulatory matters, including international data protection, corporate compliance and applicable regulations.
• Ability to think "outside the box" and address complex matters with creative solutions.
• Excellent interpersonal, written/verbal communication and negotiation skills.
• Highly responsive and service-oriented attitude.
• Ability to independently organize, prioritize and manage deadlines in a fast-paced and demanding work environment.
• Ability to maintain strong working relationships with high-performing internal clients and work effectively with remote team and management members.
• Sound and practical business judgment
