In House Legal Counsel
On site within the Tampa Bay Area
JOB SUMMARY
Provides legal guidance and support to the company on a wide range of matters, including corporate governance, regulatory compliance, contract negotiation, intellectual property, employment law, and litigation management. This role involves working closely with executive leadership and internal departments to ensure legal risks are minimized and business goals are achieved within the boundaries of the law. The In-House Counsel serves as a strategic advisor, ensuring the company?s operations comply with applicable laws and regulations.
ESSENTIAL FUNCTIONS:
- Contract Review & Management: Draft, review, and negotiate a wide range of contracts, including supplier agreements, customer contracts, NDAs, service agreements, licensing agreements, and construction subcontracts.
- Regulatory Compliance: Ensure compliance with federal, state, and local laws and regulations related to manufacturing, distribution, environmental safety (EPA/OSHA), and transportation of building materials.
- Risk Management: Identify and evaluate legal risks, develop mitigation strategies, and provide strategic legal advice to senior management.
- Litigation Management: Oversee and manage outside counsel in litigation matters including product liability, construction disputes, employment issues, and collections.
- Employment Law: Provide legal guidance on employment practices, including hiring, terminations, compliance with labor laws, employee policies, and internal investigations.
- Intellectual Property: Monitor and protect the company's intellectual property portfolio, including trademarks, patents, and trade secrets.
- Corporate Governance: Support corporate governance processes, including board meetings, company policies, and compliance training.
- Real Estate & Facilities: Review and advise on real estate leases, easements, zoning, and land use issues as they relate to manufacturing and distribution operations.
JOB QUALIFICATIONS:
Must hold a Juris Doctor (JD) degree from an accredited law school and be admitted to practice law in the relevant jurisdiction. A strong candidate will have several years of legal experience, ideally a combination of law firm and in-house corporate practice, with expertise in areas such as contract law, corporate governance, regulatory compliance, employment law, and risk management. Excellent analytical, communication, and negotiation skills are essential, as is the ability to provide practical, business-oriented legal advice in a fast-paced environment. Familiarity with the company?s industry and a proactive, solutions-focused mindset are also highly valued.
EDUCATION & EXPERIENCE:
- Juris Doctor (JD) from an accredited law school.
- Licensed to practice law and in good standing with at least one U.S. state bar.
- 5+ years of legal experience, with at least 2 years in-house or in a relevant industry (distribution, logistics, manufacturing, etc.).
- Strong knowledge of commercial and contract law.
- Experience with regulatory compliance, particularly in trade, transportation, or product safety, is a plus.
