About the Health Law Practice Our Health Law Practice is uniquely positioned to guide clients through structural and operational challenges. Our clients include providers (non-profit, publicly traded and private equity backed), payors, manufacturers, distributors, and suppliers. Responsibilities: Mintz is looking for a junior associate with commercial contracting and/or M&A experience to join the Health Law Practice in our New York, or Washington, DC office. This individual will support a team that advises national and regional health plans, particularly in their contracting relationships with pharmacy benefit managers (PBMs) and other vendors. The individual will also support Mintz?s health care transactions practice in connection with M&A transactions and various industry investments. The role involves working on a wide range of commercial agreements and transactions that are central to the operations of health plans, payors, PBMs, and other service providers and entities within the health care industry. Responsibilities will include working with Mintz attorneys on all aspects of commercial contracting, M&A transactions, and related contracting, investments, and transactions, including drafting and negotiating service agreements, PBM contracts, vendor arrangements, and M&A agreements. The associate will identify key legal and business issues in contracts, prepare summaries and issue lists, and assist in contract lifecycle management and tracking. The role also includes conducting research on payor regulations and PBM practices, summarizing regulatory guidance from CMS and state agencies, and supporting the team in responding to audits and regulatory inquiries. In connection with M&A transactions, the associate will assist with due diligence reviews, transaction document preparation and negotiation, and management of the health care portion of various transactions. Experience managing contract workflows and coordinating with clients, co-counsel, and opposing counsel is strongly preferred. Attention to detail, strong organizational and communication skills, and the ability to anticipate and respond to client needs quickly and effectively are critical. Corporate associates with strong contract drafting and/or M&A experience are encouraged to apply. Collaboration with team members is an important component of any role at Mintz. Therefore, the firm encourages working from the office approximately 60% of the time in accordance with the firm?s published guidelines. Qualifications: Candidates with experience in transactional matters in the health care industry are preferred, particularly those familiar with federal and state regulations governing health care providers, including the federal Anti-Kickback Statute, Stark Law, state corporate practice of medicine restrictions, CON and licensure requirements.
