Finance Attorney

Parsons Behle & Latimer is seeking a Finance attorney with 5+ years of experience to join our Salt Lake City office and assist our clients in all aspects of finance law, including complex transactions, loans, contracts and documentation facing small and large financial institutions on local, regional and national levels. This position entails representing banks, non-banks, lenders, agents, borrowers, private equity sponsors, and public/private companies in a broad range of domestic and cross-border/international finance transactions, including senior secured, mezzanine and subordinated debt transactions; structured finance; debt facilities for companies and lenders; acquisition finance; loan workouts and restructurings; lending transactions and other related transactions. Experience with asset-based lending, warehouse financing and other leveraged finance (including in the context of mergers and acquisitions and/or experience or an interest in blockchain and cryptocurrency financing transactions) is beneficial, although candidates with other debt finance experience will be considered. Requirements and Qualifications: A J.D. from an accredited university Licensed attorney with 5+ years legal experience Admitted to practice in Utah Drafting, editing and reviewing a variety of documents, including loan agreements, security and guarantee documentation; intercreditor and subordination agreements; commitment papers; purchase and sale agreements for warehouse financings; servicing agreements and closing documentation Managing component parts of a financing transaction, including structuring, documentation and closing Collaborating with tax, regulatory, intellectual property, corporate (M&A) teams and other specialists on the structuring and documenting of financing transactions Excellent written and oral communication skills A commitment to client service and team success As a firm, we are working to promote diversity in recruitment, hiring and beyond.
