We are seeking a talented and motivated Corporate Counsel to join our Legal team and support our expanding business operations. In this role, you'll be a trusted legal partner and problem-solver across the organization.

Position

The Corporate Counsel will play a key role in supporting the company?s legal needs, with a primary focus on commercial contracts and corporate transactions. This position is ideal for an attorney with 1-3 years of experience in drafting, reviewing, and negotiating a wide range of agreements, and who has supported M&A and other corporate initiatives. The ideal candidate will be business-minded, collaborative, and eager to grow with a fast-paced organization.

Key Responsibilities

Contract Management

  • Draft, review, and negotiate a variety of commercial agreements, including vendor, customer, SaaS, licensing, NDAs, and service agreements.
  • Develop and maintain contract templates and playbooks.
  • Provide guidance to internal stakeholders on contract terms and risk mitigation.

Corporate Governance & Transactions

  • Support M&A activities, including due diligence, deal structuring, and post-closing integration.
  • Assist with corporate governance matters, including entity formation, board resolutions, and compliance filings.
  • Coordinate with external counsel on complex transactions and international matters.

Legal Risk & Compliance

  • Identify legal risks and propose practical solutions aligned with business objectives.
  • Monitor changes in laws and regulations affecting the company?s operations.
  • Support internal compliance initiatives and training programs.
  • Identify patterns and trends to recognize potential problems; appropriately escalate complex legal and factual issues and assist in their resolution.

Cross-Functional Collaboration

  • Partner with teams across the organization (e.g., Finance, HR, Sales, Procurement, Product) to provide legal support and ensure alignment with company policies in a timely and efficient manner.
  • Help build scalable legal processes and tools to support business growth.

Qualifications

  • J.D. from an accredited law school and admitted to practice law in Wisconsin.
  • Minimum 1-3 years of relevant legal experience, preferably with a mix of law firm and in-house experience.
  • Strong background in commercial contracts and corporate law, including M&A.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple priorities and work independently in a fast-paced environment.
  • Business-oriented mindset with a practical, solution-focused approach.

Additional Desired Qualifications

  • Experience in a technology, SaaS, or high-growth company environment.
  • Familiarity with property/casualty insurance, international contracts and cross-border transactions.
