Job Description

Position Overview:
The Corporate Counsel (Corporate and Regulatory) will play a critical role in supporting the legal department in various matters, including mergers and acquisitions (M&A), entity formations, contract negotiations, and regulatory compliance. The ideal candidate will possess a strong background in corporate law and healthcare regulations.

Pay Range: $190,000 - $205,000
Key Responsibilities:

Mergers and Acquisitions: Assist in the legal aspects of M&A transactions, including due diligence, negotiation of purchase agreements, and integration of new entities.
Entity Formation and Management: Oversee the formation and management of corporate entities, ensuring compliance with state and federal regulations.
Drafting Operating Agreements and Bylaws: Prepare and review operating agreements, bylaws, and other corporate governance documents to ensure alignment with business objectives and legal requirements.
Regulatory and Licensing Filings: Manage and oversee regulatory and licensing filings for the company and its facilities, ensuring compliance with all applicable laws and regulations.
Contract Negotiation: Negotiate and draft corporate and facility-level contracts, including service agreements, vendor contracts, and leases, ensuring favorable terms and compliance.
Legal Compliance: Provide ongoing legal advice and support to management and operational teams to ensure adherence to healthcare laws and regulations.
Policy Development: Collaborate with internal stakeholders to develop and implement policies and procedures that promote legal compliance and best practices.
Training and Guidance: Provide training and guidance to staff on legal issues related to contracts, compliance, and corporate governance.

Qualifications:

Juris Doctor (JD) from an accredited law school.
Active license to practice law in California.
Minimum of 5 years of experience in corporate law, with a focus on M&A, healthcare, or regulatory matters preferred.
Strong knowledge of federal and state healthcare regulations, including licensing and compliance requirements.
Excellent drafting, negotiation, and communication skills.
Proven ability to work both independently and collaboratively in a fast-paced environment.
Strong analytical and problem-solving skills.
