We are seeking to add a Corporate Counsel, who will be a key member of our legal department primarily supporting strategic, corporate and financial transactions. You will report to the Associate General Counsel, Corporate. This is a hybrid role based at our 1WTC Office.

Your responsibilities will include:

• Advising on a wide range of complex corporate transactions, including US and cross-border mergers, acquisitions, and dispositions; joint ventures and non-control investments; reorganizations and spin-offs; equity and debt capital raises; commercial contracts; banking, financial and risk transfer transactions; and structured investments.

• Reviewing and drafting certain purchase agreements, shareholders? agreements, credit agreements, master service agreements, licensing agreements, investment management agreements and other complex transaction documents.
• Assisting with securities, governance and other strategic legal projects for senior legal team members, including the Chief Legal Officer and Corporate Secretary.

• Handling and securing sensitive and confidential communications, documents and files with a high level of discretion and diplomacy.

• Collaborating closely with the legal team on the development, design and implementation of key reports and presentations. Assist in the development of a pro bono legal program for the SiriusPoint global legal team.

Your skills and abilities should include:

• Strong academic background with a bachelor?s degree (or local equivalent) and a J.D. from a nationally accredited law school.
• At least 1-2 years' law firm experience advising on transaction matters.
• Expertise collaborating closely with senior leaders on complex transactions. Experience handling highly confidential and compartmentalized information.
• Experienced at working autonomously and efficiently under tight deadlines in a fast-paced environment that may require you to quickly pivot while problem solving and executing with precision.
• A valuable team player with high integrity, curiosity and strong collaboration and problem-solving skills, and willingness and ability embrace ambiguity.
• Admission to practice as an attorney in the State of New York or eligibility to register as an in-house counsel.

SALARY: The estimated salary range for this position is $170,000 per year to $180,000 per year. This is a good-faith assessment of the salary range for this position only. In determining the actual salary within this range, SiriusPoint will consider a candidate?s relevant experience, location, and other job-related factors.
