Corporate Attorney

Parsons Behle & Latimer has an opening for a corporate attorney in our Salt Lake City office with 10+ years of experience. Parsons is a regional law firm that has a national expertise in numerous practice areas. The firm is committed to maintaining its traditional strengths, values and client service while remaining at the forefront of the legal community in Utah, Nevada, Idaho, Montana and the Intermountain Region. Requirements and Qualifications: 10+years experience with respect to M&A, venture capital and commercial finance, particularly with respect to middle-market transactions Familiarity with a wide variety of transaction types (e.g., public company, private company, stock purchase, asset purchase, cross-border, etc.) Substantive experience with commercial and venture finance, including representation of debtors, private equity firms, investment and mezzanine funds, and commercial banks Juris Doctorate Excellent academic credentials Exceptional written and verbal communication skills Sound and practical business judgment, as well as common sense Significant experience with federal and state securities compliance, including, without limitation, IPOs and the preparation of securities disclosure documents for both publicly traded and privately held companies Extensive experience structuring, negotiating, and closing mergers, acquisitions, asset purchases, private equity purchases, loan transactions, joint ventures, and strategic alliances Experience managing due diligence, closings, regulatory filings, and post-acquisition integration Significant experience structuring and forming corporations, limited liability companies, partnerships, and other business arrangements Strong communication skills and the ability to solve problems, execute and transfer knowledge, and coordinate the completion of projects by junior attorneys The desire to work on general corporate matters A portable book of business is preferred along with the desire to continue the growth of their practice Bankruptcy, banking, and real estate experience is a plus The firm?s generous salary and benefits package includes: medical and dental coverage, life insurance coverage, short-term and long-term disability coverage.
