Job Description

Groupon is a marketplace where customers discover new experiences and services everyday and local businesses thrive. To date we have worked with over a million merchant partners worldwide, connecting over 16 million customers with deals across various categories. In a world often dominated by e-commerce giants, we stand out as one of the few platforms uniquely committed to helping local businesses succeed on a performance basis.

Groupon is on a radical journey to transform our business with relentless pursuit of results. Even with thousands of employees spread across multiple continents, we still maintain a culture that inspires innovation, rewards risk-taking and celebrates success. The impact here can be immediate due to our scale and the speed of our transformation. We're a "best of both worlds" kind of company. We're big enough to have the resources and scale, but small enough that a single person has a surprising amount of autonomy and can make a meaningful impact.

About the Role
Groupon is seeking a seasoned, driven legal leader to serve as Assistant General Counsel, Corporate & Securities ? a high-impact role at the center of our public company obligations and strategic transactions. Reporting to the VP, Head of Legal, you will serve as the company's in-house subject-matter expert on SEC filings, board and committee governance, subsidiary management, and corporate transactions. You'll work directly with Groupon's senior executives and Board of Directors, with broad exposure to issues that shape our global business.

For anyone aspiring to become a General Counsel, this role offers unmatched visibility, strategic influence, and leadership opportunities ? both within the legal department and across the company.

At Groupon, we combine the scale and resources of a global organization with the agility of a startup. We value curiosity, ownership, and collaboration ? and we're passionate about helping local businesses thrive.

What You'll Do

  • Own the legal portions of all SEC filings (10-K, 10-Q, 8-K, proxy statements, registration statements) and ensure ongoing compliance with SEC and exchange requirements.

  • Lead planning for the annual meeting of stockholders.

  • Drive M&A, divestitures, strategic investments, corporate financings, and other complex corporate transactions from term sheet through closing.

  • Negotiate and draft transaction agreements, disclosure documents, and corporate governance materials.

  • Oversee Section 16 filings and related reporting obligations.

  • Prepare and manage board and committee meeting materials in partnership with senior leadership.

  • Manage global subsidiary governance, draft organizational documents, and maintain corporate records.

  • Partner with Communications, Investor Relations, Accounting, Treasury, and Tax on cross-functional initiatives.

  • Control Corporate & Securities legal budgets, manage law firm relationships, and approve related expenses.

What We're Looking For

Required:

  • 7+ years' securities and capital markets experience (in-house or at a law firm)

  • Proven ability to independently manage complex filings and transactions

  • Strong organizational skills with the ability to handle multiple priorities under tight deadlines

  • Exceptional written and verbal communication skills ? able to explain complex concepts clearly and concisely

  • Collaborative mindset with a track record of building trust across functions

Preferred Candidate Background:

  • Experience working directly with boards of directors and senior executives

  • Exposure to global subsidiary governance

  • History of mentoring junior colleagues or leading small teams

Why You'll Love Working Here

  • High-impact role with direct access to top leadership and the board

  • Opportunity to shape the future of a global public company

  • Entrepreneurial environment where your contributions are seen and valued

  • Culture that celebrates curiosity, ownership, and results
