Job Description


The Senior Counsel, Corporate and Commercial, will play a critical role in the Company?s legal department, primarily responsible for negotiating and managing vendor and commercial contracts. This role will also support the Company's third-party management program, insurance operations, and other matters. The Senior Counsel will actively engage with colleagues across the Company as not just a legal advisor but a critical business partner.

Key Duties and Responsibilities:

  • Contract Negotiation and Management.
    • Serve as the primary legal resource for review and negotiation of all vendor and commercial contracts, consistent with the Company?s contract review policies and procedures.
    • Draft, review, and finalize agreements ensuring compliance with Company policies and legal requirements.
    • Manage contract lifecycle, including cataloguing and tracking.
  • Third-Party Management Program.
    • Provide legal support for the Company?s third-party management program, primarily reviewing and negotiating management agreements with existing and potential clients.
    • Provide advice and guidance to the third-party team for ongoing relationships, including advising on contractual rights and obligations and negotiating amendments and terminations.
  • Insurance.
    • Support the Company?s Orange Door Insurance Program and ancillary insurance operations.
    • Coordinate insurance considerations as between the Company?s risk management and third-party management programs.
  • Other.
    • Assist with the Company?s trademark, intellectual property, and brand protection programs.
    • Provide legal support on strategic projects as assigned, which may include the development of new programs and services, acquisitions/M&A support, and more.
    • Spot and navigate legal issues while fostering strong internal relationships through a collaborative business-focused approach.
    • Manage outside counsel to achieve optimal efficiencies, outcomes, and value for the Company.

Qualifications
  • Juris Doctor (JD) degree from an accredited law school.
  • Must be an active member in good standing of the CA or TX bar or eligible for registered in-house counsel status in TX.
  • Minimum of [6] years of experience in corporate and commercial law.
  • Foundational law firm training. Prior in-house experience preferred.
  • Experience with REITs a plus but not required.

Skills:

  • Extensive experience in contract negotiation and management.
  • Familiarity with one or more of third-party management programs, privacy, trademarks/intellectual property, insurance, or marketing a plus.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Proficient in managing multiple tasks and deadlines.
  • Strong interpersonal and relationship building skills with the ability to influence and counsel across all levels of the organization.
  • Proficiency in legal research tools and MS Office Suite.
  • Demonstrated ability to handle sensitive and confidential information with the utmost discretion.

Public Storage teammates are expected to work in the office five days each week with the option to take up to three flexible remote days per month.
