Job Description

Associate (Senior) with Kirkland & Ellis LLP (Houston, TX). Working within the M&A / Private Equity Group, advise and represent private equity sponsors and their portfolio companies and other public and private companies in mergers and acquisitions (M&A), divestitures, joint ventures and other investments and securities offerings. Requires Juris Doctor (J.D.) or Master of Laws (LL.M.) degree, or foreign equivalent. Requires admission to the State Bar of Texas. Requires four (4) years of experience as an Associate with the Mergers & Acquisitions/Private Equity practice group of an international law firm. Experience must include: providing assistance to private equity firms, funds, and portfolio companies in sophisticated corporate transactions including M&A, divestitures, joint ventures and other investments and securities offerings; drafting corporate documents including equity commitment letters, limited guaranties, term sheets, transaction support agreements, escrow agreements, paying agent agreements, letters of transmittal, rollover agreements, disclosure schedules, confidentiality agreements and exclusivity agreements, and RWI documents; researching, analyzing, and drafting responses to inquiries regarding corporate issues involving securities law, financing, taxation, antitrust, executive compensation, labor, employee benefits, environmental, health and safety, intellectual property, real property and energy regulation; supporting due diligence review processes for domestic and international M&A transactions; and Coordinating with private equity sponsors on institutional compliance requirements relating to anti-money laundering regulations.
