Job Description
Associate with Kirkland & Ellis LLP (New York, NY). Work within the Investment Funds practice group, advising clients in the structuring and operation of alternative investment funds. Requires Juris Doctor or LL.M. degree, or foreign equivalent. Requires 2 years of experience as an Associate or related job/role/occupation with an international law firm focusing on corporate transactions and investment funds matters. Experience must include: Advising and representing clients with respect to general corporate matters and regulatory compliance for registered investment funds; Drafting offering materials, organizational documents and agreements for Registered Investment Funds; Researching marketing rules and securities laws related to Registered Investment Funds and fundraising in various jurisdictions; Advising and representing clients in financing and fund-raising, and with respect to obtaining SEC exemptive relief applications for Registered Investment Companies to permit co-investment; Advising and representing underwriters in financing and fund-raising activities pertaining to Registered Investment Funds; Preparing federal, state, and foreign securities law filings; and Negotiating and drafting documents in connection with respect to merger and acquisition transactions, and offering materials with respect to financings and fundraising.
