Who we are looking for:

Slate is looking for a Chief Legal Officer, General Counsel, Chief Compliance Officer, and Corporate Secretary (the "General Counsel") to join our executive leadership team. In this highly visible and strategic role, you will be responsible for overseeing the company's legal function and ensuring compliance across corporate governance, securities, employment, litigation, regulatory, real estate, intellectual property, mergers and acquisitions, and other transactional matters. You will also serve as the company's Corporate Secretary and Chief Compliance Officer.

What you get to do:

• Develop and manage company-wide policies and procedures related to ethical business practices, corporate law, data governance, claims management, and contract administration.
• Monitor legislative and regulatory changes, advising leadership on impacts and advocating as needed.
• Advise on litigation risks and provide proactive legal strategies to mitigate liabilities.
• Manage litigation, settlement negotiations, and dispute resolutions, with a focus on securities, intellectual property, customs/import compliance, labor, and product liability.
• Act as a key member of the senior management team, contributing to policy formulation and execution of the company's strategic goals.
• Oversee compliance with federal securities laws and stock exchange regulations, including Sarbanes-Oxley requirements.
• Provide legal guidance on strategic business decisions, including acquisitions, joint ventures, investments, and contract negotiations.
• Serve as a senior advisor to the Board of Directors, working closely with board members and committees while ensuring corporate governance compliance.
• Provide preventative legal counseling and ensure compliance with applicable laws and internal policies.
• Oversee transaction financing, debt restructuring, and public offerings.
• Lead periodic risk assessments to proactively identify legal and business risks.
• Manage all legal services for the company, overseeing internal legal teams and outside counsel.
• Establish and manage the budget, staffing, and operational processes for the Legal Department.
• Select, evaluate, and manage outside counsel to ensure cost-effective and high-quality legal representation.
• This role has supervisory responsibilities for approximately five employees within the legal department.

What you bring to the team:

• Juris Doctor (J.D.) or equivalent degree, with an active license to practice law in at least one U.S. state (preferably Michigan).
• 10+ years of experience in corporate legal counsel roles.
• Experience in the Electric Vehicle (EV) industry and Initial Public Offerings (IPO).
• Strong ability to analyze complex legal documents and provide strategic business-oriented legal counsel.
• Excellent ability to respond effectively to sensitive legal inquiries and present information persuasively to executive leadership and board members.
• Expertise in negotiating and structuring high-value contracts, transactions, and legal settlements.
• Proficiency in mathematical reasoning for financial transactions, contract structuring, and legal risk assessments.
• Strong critical thinking skills to interpret technical legal concepts and manage complex regulatory requirements.
• Seeks opportunities to collaborate across teams, leveraging diverse perspectives to create seamless, constructive solutions that support exceptional service delivery throughout the business.
• Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, Visio)
