Job Description


Basic Function of the Position: Serve as legal counsel and trusted business advisor to management, department heads, and department personnel:

  • Assist in providing strategic legal counsel that aligns with organizational objectives.
  • Provide practical guidance and actionable recommendations with an understanding of business priorities and operational realities.

Critical Duties and Responsibilities: Support the General Counsel and legal department on legal matters impacting the company:

  • Conduct research and analysis and effectively communicate legal advice.
  • Assist with management of legal department personnel and resources.
  • Draft, review, and edit legal documents including, but not limited to, contracts, letters of intent, correspondence, memos, terms and conditions, and policies.
    • Negotiate contractual terms, especially related to liability, indemnification, allocation of risk and other legal terms.
    • Provide contractual support to business teams on negotiations of sales contracts.
  • Manage the contract review and storage process.
    • Oversee the use of standard contract clauses and implement playbook in contract management system.
    • Review, edit and create templates and standardized clauses.
    • Help supervise the maintenance of accurate and complete contracts database and contractual records.
  • Provide guidance on member-focused matters, publications, meetings, and regulatory advocacy with respect to antitrust and corporate policy compliance.
  • Assist in advising on intellectual property rights matters.
    • Manage outside counsel regarding trademark registrations and IP matters.
    • Assist with company trademark enforcement matters, including reviewing and drafting cease and desist letters.
    • Manage and maintain intellectual property records, matters and files.
  • Support programming and production of flagship industry tradeshow, CES:
    • Oversee onsite exhibitor intellectual property complaints.
    • Review contest rules and giveaways for legal compliance.
    • Coordinate with outside counsel regarding code of conduct investigations.
    • Work with onsite contractors and security to enforce exhibit space contract and show policies.
  • Assist in HR matters, including review and update of policies and procedures, and advising on hiring and termination, compliance, and other matters.
  • Assist in litigation, arbitration, and other legal proceedings.
    • Manage document production and privilege review for subpoena and government agency document requests.
    • Manage discovery and responses to interrogatories and provide other litigation support.
    • Maintain internal documentation of proceedings and filings.
    • Manage negotiations and alternative dispute resolution matters with CTA clients.
    • Work with outside counsel, as required.
  • Provide internal legal training and seminars.
  • Assist in reviewing corporate processes for compliance with relevant laws and monitoring updates in relevant laws.
  • Manage and maintain registered agent and corporate filings in relevant jurisdictions.
  • Assist in advising on real property and leasing matters.
  • Partner proactively with cross-functional stakeholders to anticipate legal risks and identify business opportunities, supporting decision-making processes with both legal and commercial awareness.
  • Other duties as required by business needs.

Work Experience:

  • At least 5-7 years of professional legal experience; at least 3+ years of professional experience working in an in-house legal department or trade association preferred
  • Experience drafting, editing and reviewing contracts, memos, correspondence, and other legal documents.
  • Experience providing counsel to company management, coordinating with external legal counsel, and contributing to policy and process developments.

Education/Training:

  • Juris Doctor (JD) required.
  • Experience or specialization in corporate/contracts, antitrust, intellectual property, and/or employment law preferred.
  • Previous trade association work is a plus.
  • Active Bar Membership (with preference for VA, DC, MD).

  • Must be an excellent writer and communicator:
    • Strong ability to write clearly, concisely, and effectively in all communications and documents.
    • Effective oral communications skills in public speaking, presentations, and virtual meetings.
  • Business-minded focus and solution-oriented approach.
  • Excellent interpersonal relationship skills.
  • Ability to manage and prioritize multiple issues and tasks, and the ability to work reliably on complex projects with tight deadlines.

Additional Information:

  • Must be able to attend CES in Las Vegas, Nevada held annually in early January.
