RESPONSIBILITIES:

• Ensure compliance with federal and state securities laws, including compliance with SEC regulations, NASDAQ listing requirements, and other applicable rules and regulations.

• Oversee and manage legal aspects of all public company reporting obligations, including the preparation and filing of SEC filings such as proxy statements, 10-Ks, 10-Qs, 8-Ks, Section 16 reports, and other securities filings.

• Advise on securities and corporate governance best practices, including related to environmental, social and governance (ESG) developments, and assist with review and preparation of governance documents, corporate policies, and board and committee materials.

• Provide legal support on all aspects of equity-based compensation plans and executive compensation matters, including with respect to insider trading compliance, Rule 10b5-1 plans, equity award grants and agreements, and Section 16 filings and related activities.

• Draft, review, and negotiate contracts related to various aspects of the retail business, including, but not limited to, non-disclosure agreements, vendor agreements, licensing agreements, contracts for professional services, and other business and commercial contracts.

• Handle special projects as needed to ensure the company?s governance framework aligns with strategic goals and regulatory requirements.

QUALIFICATIONS:

• J.D. degree from an A.B.A. accredited law school. Admitted and member in good standing with the PA Bar (or ability to waive in to become a member).

• Minimum 5+ years of relevant legal experience (in-house experience a plus).

• Excellent written and verbal communication skills as well as presentation and negotiation skills.

• Well-developed analytical and critical thinking skills; high attention to detail.

• Excellent judgment and the highest level of personal integrity.

• Ability to thrive in a fast-paced, high-growth environment and to manage resources in a cost-effective manner.

• Creative problem solver able to deliver clear, strategic advice to clients in a timely manner.

• Able to balance multiple projects while remaining highly organized.

• Proficient with technology, including with Microsoft Office Word, Excel, PowerPoint, Outlook, and other systems.

• Able to maintain flexibility and readiness to take on other duties as assigned.
