Job Description
We are seeking a part-time Corporate Attorney to join our team to provide excellent support and guidance to the Executive Leadership team regarding all company legal matters for all entities under the company umbrella. The Corporate Attorney will be responsible for providing expert legal guidance on a variety of corporate matters, including customer and vendor contract, mergers and acquisitions, compliance, and corporate governance. This role requires a strong understanding of corporate law and the ability to navigate complex legal issues while ensuring that the organization adheres to all relevant regulations.
Responsibilities:
- Drafting, reviewing, and negotiating contracts to ensure compliance with applicable laws and regulations.
- Providing legal advice on corporate governance, including compliance with regulatory requirements and best practices.
- Conducting due diligence for mergers, acquisitions, and other corporate transactions.
- Advising management on risk management and mitigation strategies related to corporate activities.
- Coordinating with external legal counsel as needed.
- Staying updated on changes in legislation that may impact the business and advising accordingly.
- Assisting in the development and implementation of corporate policies and procedures.
- Preparing and maintaining corporate records
Qualifications:
- Juris Doctor (JD) degree from an accredited law school
- Minimum of 7 years of applicable experience
- Strong understanding of corporate law, regulations, and compliance
- Excellent written and verbal communication skills
- Proficiency in legal research and analysis software
- Negotiation and conflict resolution abilities
- Leadership and team management skills
- Attention to detail and strong organizational skills
- Ability to work under pressure and meet tight deadlines
