The COMMERCIAL LEGAL COUNSEL, DISCOVERY & MEDICAL, AMERICAS is responsible for partnering with Discovery & Medical leadership and their teams in the Americas to help identify opportunities to drive the business forward, negotiate contracts, and provide legal advice as well as training.

This position reports to the General Counsel, Discovery & Medical and is part of the Legal & Compliance Department. This position will be an on-site role located in Marlborough, Massachusetts.

What you'll do

Partner with Discovery & Medical leadership and their teams in the Americas to help identify opportunities to drive the business forward, including drafting, reviewing and negotiating strategic commercial, direct sourcing and non-disclosure agreements.

Provide Legal & Compliance training to the Discovery & Medical team in the Americas to help them identify and navigate risks that may arise during the course of doing business.

Apply legal and business judgment to proposed deals, relationships and other issues requiring legal or compliance attention and advise the business on compliance, privacy, antitrust, and advertising / promotional matters.

Supporting the management of disputes and litigation, as well as outside counsel.

Who you are

JD with excellent academic credentials from an accredited law school. Active bar membership in at least one US jurisdiction.

Minimum of 5 years post qualification experience at either a large law firm or corporate in-house legal department (or minimum 10 years of experience as a contracts manager).

-It would be a plus if you also possess previous experience in:

-Drafting, negotiating and closing commercial and supplier agreements in a regulated environment (e.g. sale and distribution agreements, supply and professional services procurement agreements etc.), preferably with experience gained in the healthcare or life sciences industry (including the application of privacy laws such as HIPAA and/or GDPR).

Working in a matrixed environment where you demonstrated an ability to prioritize projects and to effectively manage multiple tasks and priorities in a fast-paced environment.

Engaging and collaborating with cross-functional stakeholders to influence adoption of business-oriented solutions.

It would be nice if you also have the following skills:

Strong analytical, verbal and communication skills with demonstrated experience identifying and resolving legal and compliance issues quickly and effectively and ability to make well-grounded risk calls.

Ability to contribute to driving change across cross-functional teams with a focus on driving operational excellence.
