Job Summary The Employment team within the Employment, Executive Compensation & Benefits practice group, is seeking a lateral associate with 3 - 6 years of substantial experience on employment matters that arise in corporate transactions, to join our Boston office. Duties/Responsibilities Associates in this position will be expected to work on the employment aspects for all types of transactions involving private equity clients and strategic investors. Associates will draft and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements and conduct associated legal research to ensure compliance with applicable state law. Working with senior attorneys, associates advise clients on strategic approaches to structuring transactions, market practices and legal considerations on matters such as wage and hour, discrimination, performance, discipline, leave of absence and disability by applying legal principles and judgment to different factual scenarios. Associates in this position can expect to work with senior attorneys on due diligence calls with management, negotiate principal and ancillary transaction documents, including purchase and sale agreements, disclosure schedules, employee leasing agreements, management restrictive covenant agreements, partnership agreements, limited liability company agreements and employment agreements. Associates will also analyze the legal and factual background of pre-litigation disputes and litigation matters and work with senior attorneys to develop case strategy, prepare and finalize drafts of court and agency filings and responses to same. Required Skills/Abilities Candidates must have a minimum of 3 years of substantial work experience on the employment aspects of private equity or mergers and acquisitions deals, drafting and negotiating employment-related agreements, such as employment agreements/offer letters, restrictive covenant agreements and separation agreements and handling employment dispute matters and/or employment investigations. Candidates should also have excellent attention to detail, strong interpersonal and client management skills and the ability to manage priorities in a fast paced and, at times, deadline driven environment. Excellent academic credentials and admission to practice in the state of Massachusetts, or eligibility to obtain admission promptly in the state, is required.
