The Assistant Legal Counsel will work closely with the Chief Legal Counsel in supporting all facets of The Health Plan's business. While the Assistant Legal Counsel will spend a significant portion of time in contract review, the position will also assist with litigation matters, as well as participate in regulatory compliance, corporate governance, and employment matters. The ideal candidate will be highly self-motivated and interested in partnering collaboratively, while working independently, to manage risk exposure while assisting business leaders achieve their goals and objectives.

Required:

  • Juris doctorate degree from an ABA accredited institution.
  • Active membership in the State Bar of West Virginia or Ohio or the ability to obtain such status within one year of hire.
  • 4+ years OR 8+ years of experience (duties and compensation will be determined in accordance therewith) in a law firm and/or in-house legal departments (or combination thereof) with meaningful experience as a strategic advisor and collaborative partner with senior business leaders and stakeholders.
  • Experience in contract drafting, review and negotiation with superior issue identification, creative problem solving, and conflict resolution skills.
  • Excellent communication skills (both oral and written), interpersonal skills, analytical abilities, and work ethic.
  • Strong ability to balance the need to deliver practical business advice while managing risk and legal obligations; demonstrated ability to establish and maintain effective working relationships with all levels both internally and externally.
  • Ability to handle highly confidential and sensitive information required.
  • Experience with state and/or federal litigation, including overseeing and managing discovery and document review.

  • Experience reviewing and evaluating technology agreements, including software subscription, service, and support; and related risk, cost, and compliance concepts and issues.
  • Expertise in contractual and regulatory matters affecting health insurance issuers, managed care organizations, and/or third party administrators, including but not limited to state, federal, and international data privacy and security laws.
  • Litigation experience in state and/or federal court is a plus.
  • Strong IT skills.

Responsibilities:

  • Draft and review agreements and contracts (including service provider agreements, software as a service agreement, group business contracts, and vendor contracts); identify potential legal issues and creatively problem solve to address the same; advise, seek input from, and incorporate responses from business partners and stakeholders in contract language.
  • Supervise outside counsel in litigation matters, including overseeing discovery, reviewing pleadings and analyzing legal memoranda; actively participate in litigation strategy; attend hearings, depositions, and trials.
  • Review proposed legislation and/or regulatory guidance and assist in providing guidance to leadership and key partners. Address questions regarding regulatory compliance at state and/or federal level.
  • Assist in THP's day-to-day legal affairs, including the planning, development, and implementation of other projects and responsibilities as assigned by Chief Legal Counsel; including by thoroughly investigating facts; understanding and analyzing complex problems and issues; identifying and analyzing applicable authorities; and recommending possible solutions and/or mitigation strategies.
  • Stay abreast of legal developments affecting THP, its members and clients, and its industry; synthesizing information to incorporate it into THP's practices.
  • Complete tasks and projects within applicable constraints.
  • Comply with all applicable policies and procedures.
