Assistant Counsel

ZeroFoxis looking for an Assistant Counsel to join our legal team. This is a great opportunity for a recent law graduate or junior attorney looking to build their career in corporate law. Assistant Counsel will provide high-quality legal counsel and representation on a wide range of matters, including litigation, labor and employment, contracts, privacy, intellectual property, procurement, and transactions.

Role and responsibilities

• Contracts: Draft, review, and revise contracts, NDAs, service agreements, Vendor Agreement and other legal documents, Ensure contracts comply with company policies and legal requirements; Monitor contract deadlines, renewals, and obligations. Assist with contract-related disputes, amendments, and risk assessments
• Compliance: Conduct legal research related to applicable law and regulatory compliance, and generally support the company's compliance with national and international local, state, and federal laws, as well as industry regulations
• Legal Strategy: Assist in developing and implementing the company's legal strategy to align with business objectives by navigating legal requirements, evaluate and manage legal risk, align, and conserve resources, promote collaborative dispute resolution, and reduce avoidable litigation, if possible, and engage in strategic decision-making
• Risk Management: Identify, evaluate and manage potential legal risks and advise on strategies to mitigate them, align, and conserve resources, promote collaborative dispute resolution, and reduce avoidable litigation, if possible, and engage in strategic decision-making
• Communication: collaborate with various departments and play a key role in supporting legal strategies that protect and promote the company's interests Liaise with internal departments and external parties to facilitate contract negotiations and approvals; liaise with external parties such as legal authorities, regulators, and other third parties
• Outside Counsel: Assist in coordinating with external legal counsel for specialized matters or litigation, ensuring that the company's interests are well represented
• Administration: Maintain and organize contract files, databases, and documentation, perform administrative tasks such as preparing reports, summaries, and maintaining records

Requirements

• Strong written advocacy, communication, and negotiation skills are required
• Outstanding organizational and project management skills with a keen attention to detail
• Ability to spot issues, analyze, gather and summarize data, and solve problems effectively
• Demonstrated ability to "keep the ball moving" in large, complex, and long-term projects
• Ability to prioritize effectively in a fast paced environment, juggle multiple projects, work quickly when necessary, and focus on navigating obstacles by extracting the highest return from invested time
• Consistent discretion, good judgment, and ability to maintain appropriate confidentiality
• Self-reflective, with the ability and desire to take and incorporate feedback
• Positive attitude and mindset
• Juris Doctor (JD) degree from an accredited law school
• Licensed to practice law (MD preferred).
• 2-4 years of experience, ideally in corporate law, contract law, or regulatory compliance
• Some travel may be necessary, to appear in person at hearings, as well as mediations.
