Job Description

We are looking for an experienced General Counsel to help our organization with legal issues. This person will review and create contracts for IT, employment, real estate, and vendors. They will also manage copyrights, trademarks, and keep important business records. The General Counsel will also handle negotiations and contracts with customers, insurance matters, and employee relations. They will ensure that the organization follows all laws and regulations related to mergers and acquisitions, labeling, employee safety, and consumer protection. Additionally, they will oversee compliance with corporate governance and make decisions about defending lawsuits and taking legal action.

To be successful in this role, you should have a strong understanding of laws and regulations and be able to make smart legal decisions. Excellent communication and people skills are also important.

Job Duties and Responsibilities

  • Provide legal advice to executives, senior management, and the board on various matters including legal rights and laws.
  • Manage all legal matters for the organization.
  • Create and review contracts, such as employment and vendor agreements.
  • Maintain knowledge of the organization's operations and legal documents.
  • Research and review legal strategies for potential legal actions.
  • Create policies and procedures for corporate acts and decisions.
  • Keep all corporate records organized and up-to-date.
  • Handle legal filings, such as licensing forms.
  • Work with outside lawyers to assist with their assignments.
  • Manage the organization's intellectual property and create new entities as needed.

Requirements and Qualifications

  • Juris Doctor degree from a top law school.
  • At least 4 years of experience working at a reputable law firm.
  • Strong legal experience with fund investments, venture capital financing, and mergers and acquisitions.
  • Knowledge of corporate governance issues and corporate secretarial duties.
  • Excellent written and verbal communication skills.
  • Familiarity with relevant laws and regulations for businesses.
  • Ability to handle sensitive and confidential information.
